Terms of Service

Last updated: [Effective Date]

Legal review required: bracketed placeholders such as [Jurisdiction] must be completed and this document reviewed by qualified counsel before publication.

These Terms govern all quotations, orders, and production work supplied by PaperCrease ("we", "us") to a client ("you"), including pop-up book engineering, brand envelopes, folded specialty-paper structures, die-cutting, embossing, and foil stamping. Placing an order or approving a quotation constitutes acceptance.

1. Quotations and orders

  • Quotations are valid for [Quote Validity] and are based on the specification supplied at the time of quoting.
  • Changes to trim size, mechanism, stock, run length, or finishing may alter price and schedule; a revised quotation will be issued.
  • An order is accepted when we confirm it in writing and, where applicable, receive the deposit stated in the quotation.

2. Artwork and file preparation

  • You supply print-ready files with outlined paths, embedded images at final size, and a minimum 3 mm bleed unless otherwise agreed.
  • Dielines we supply must not be altered without notifying us; alteration voids our registration guarantee.
  • Time spent correcting files beyond routine preflight is charged at our prevailing studio rate.

3. Dummies, proofs, and approval

Pop-up and folded structure orders include one full-size white dummy. Production does not begin until you approve the dummy and, where specified, a printed proof in writing. Once approved, you accept the mechanism, fold behaviour, colour, and finishing placement shown. Errors present in approved artwork or proofs are not our responsibility.

4. Tooling

  • Tooling charges cover the manufacture of steel rule formes, brass emboss dies, and foil blocks.
  • Unless the quotation states otherwise, we retain physical possession and ownership of tooling and store it for [Tooling Storage Period] to enable repeat runs.
  • Tooling reproducing your trademarks or artwork will not be used for any other client.

5. Materials and specialty paper

Specialty and mill-order papers are subject to merchant availability, minimum order quantities, and batch variation in shade and texture. Where a specified stock becomes unavailable we will propose an equivalent for your approval. Hand-made and cotton stocks carry inherent variation in deckle edge, formation, and colour, which is not a defect.

6. Production tolerances

  • Die-cut registration: ±0.2 mm across the sheet.
  • Emboss depth and foil density: subject to normal variation across a run and between batches of stock.
  • Quantity: we may deliver within ±5% of the ordered quantity on runs above 500 units and invoice the quantity delivered.
  • Colour: matched to the approved proof within commercially reasonable limits; screen-to-print matching is not guaranteed.

7. Prices, payment, and taxes

  • A deposit of [Deposit Percentage] is payable on order confirmation; the balance is due [Payment Terms] from invoice date.
  • Prices exclude taxes, duties, freight, and insurance unless stated. Taxes are applied as required in [Jurisdiction].
  • Overdue amounts may accrue interest at the rate permitted by the law of [Jurisdiction].

8. Delivery, risk, and inspection

Lead times run from written approval of the dummy or proof, not from order date. Delivery dates are estimates and are not guaranteed unless expressly agreed in writing. Risk passes on delivery to you or your nominated carrier. You must inspect goods and notify us of any shortage, damage, or defect within [Inspection Window] of receipt.

9. Intellectual property

  • You retain all rights in artwork and trademarks you supply, and warrant you hold the necessary rights to reproduce them.
  • We retain rights in mechanisms, dielines, and structural engineering we originate, and license them to you for the commissioned edition and its approved repeat runs.
  • We may photograph finished work for our portfolio only with your written consent.

10. Cancellation and suspension

If you cancel after order confirmation, you remain liable for tooling already manufactured, materials ordered, work completed, and reasonable committed costs. We may suspend production where approvals, materials, or payments are outstanding.

11. Warranty and limitation of liability

We warrant that work will be produced with reasonable skill and care and will conform to the approved dummy or proof subject to the tolerances above. To the maximum extent permitted by the law of [Jurisdiction], our total liability arising from an order is limited to the invoice value of that order, and we exclude liability for indirect or consequential loss, including lost profit, lost sales, and reprint costs incurred with third parties.

12. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including mill or merchant supply failure, utility interruption, industrial action, transport disruption, or acts of government.

13. Governing law and disputes

These Terms are governed by the law of [Jurisdiction], and the courts of [Jurisdiction] have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections that apply to you.
